Good Times USA, a leading U.S. cigar manufacturer with distribution in more than 25 countries worldwide, has completed a transition to 100% employee ownership through an Employee Stock Ownership Plan (ESOP).
Lazear Capital Partners (Lazear) served as the exclusive financial advisor on the ESOP transaction. The engagement was led by Partner Ted Lape and Tampa Market Leader Eric Vogt, with support from Managing Director Josh Zeidman and Associate Luke Hartline.
The ESOP was structured to secure Good Times USA’s independence while formalizing its long-held belief that those who build the business each day should share in its success.
“Good Times USA has built a strong, globally recognized platform anchored in brand heritage and disciplined execution,” said Lape. “This ESOP transaction allows the company to remain independent while directly aligning employees with the continued performance of the business. It’s a structure designed to protect the legacy that’s been built and position the company for long-term success.”
Since the Good Times® trademark inception in 2005, the company has developed a portfolio rooted in more than a century of heritage, including brands that trace back to the iconic House of Windsor, established in 1918. Today, Good Times USA ranks among the top five cigar companies competing in the U.S. market.
According to the National Center for Employee Ownership, Florida ranks among the top 10 states nationally in the number of ESOP-owned companies, underscoring the strength of employee ownership as a proven succession strategy. Lazear advises business owners nationwide on ESOP transactions designed to preserve independence and position companies for sustained performance.
